ACCEPTANCE OF TERMS. Direction$, LLC (“Direction$”) welcomes you.  Direction$ provides the Direction$ Services (defined below) to you subject to the following Terms of Service (“TOS”), which may be updated by us from time to time without notice to you.  You can review the most current version of the TOS at any time at: www.directionsforwomen.com.  By accessing and using the Direction$ Services, you accept and agree to be bound by the terms and provision of the TOS.

Purpose. The Direction$ Service is offered to you as a user of the Direction$forwomen.com website, owned by Direction$. The purpose of this Terms of Service is to provide guidelines that will be applied in determining acceptable use of this website.  As a user of this service, you agree to comply with this policy, the stated acceptable uses, and the terms of service.

Description of Direction$ Services. Direction$ provides users with access to a rich collection of resources, including without limitation various communications tools and forums through its network of properties which may be accessed through any various medium or device now known or hereafter developed (the “Direction$ Services”). You also understand and agree that the Direction$ Services may include advertisements and that these advertisements, to the extent included, are necessary for Direction$ to provide the Direction$ Services.  You also understand and agree that the Direction$ Services may include certain communications from Direction$, such as service announcements and administrative messages and you will not be able to opt out of receiving these sorts of communications.

YOUR REGISTRATION OBLIGATIONS.  In consideration of your use of the Direction$ Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving the Direction$ Services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Direction$ Service’s registration form (the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Direction$ has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Direction$ has the right to suspend or terminate your account and refuse any and all current or future use of the Direction$ Services (or any portion thereof).

Online Conduct. The intent of this policy is to make clear certain uses, which are and are not appropriate, not to exhaustively enumerate all such possible uses. Direction$ will not monitor or judge all the content of information transmitted over this service, but will investigate complaints of possible inappropriate use. Direction$ may at any time make determinations that particular uses are or are not appropriate with or without notice to you, according to the following guidelines.

1. You must respect the privacy of others; for example, you shall not intentionally seek information on, obtain copies of, or modify files, other data, or passwords belonging to others, or represent yourself as another user unless explicitly authorized to do so by that user.
2. You must respect the legal protection provided by copyright and license to programs and data.
3. You must respect the integrity of computing and network systems; for example, you shall not intentionally develop or use programs that harass other users or infiltrate a computer, computing system, or network and/or damage or alter the software components of a computer, computing system or network.
4. Your use of this website should be consistent with guiding ethical statements and accepted community standards. Malicious use is not acceptable.
5. You may not use this website and any attached network in a manner that precludes or significantly hampers its use by others.
6. You may not establish connections that create routing patterns that are inconsistent with the effective and shared use of the network.
7. You may not use this website or any attached network for the transmittal or posting of unsolicited commercial e-mail. Also, unsolicited advertising is not acceptable. Advertising is permitted on some web pages, mailing lists, news groups, and similar environments if advertising is explicitly allowed in that environment.
8. Repeated, unsolicited, and unwanted communication of an intrusive nature is not acceptable. For example, continuing to send e-mail messages to an individual after being asked to stop is not acceptable.

Emailing Content. When interacting with Direction$ via this website, you agree to provide true and accurate information. Further you understand that providing confidential information via email is an unsafe practice. You understand that you are solely responsible for the content you transmit over the Internet using this service provided by Direction$.

Interference. You agree not to reproduce content found on this website. You also agree not to interfere with the operations of this site. Intentional interference with the Direction$ website or brute force attacks will be reported to your Internet Service Provider and/or the appropriate law enforcement authorities.

Proprietary Rights. Copyright in the pages, screens, text, and images appearing on this site is owned by Direction$. The information and materials contained in the site may not be copied, displayed, distributed, downloaded, licensed, modified, published, reposted, reproduced, reused, sold, transmitted, used to create a derivative work or otherwise used for public or commercial purposes without the express written permission of Direction$. You cannot use these materials on any other website or networked computer environment for any purpose. Unauthorized use of any materials at this site may violate copyright, trademark, and other laws. If you breach any of these terms your authorization to use this site automatically terminates and you must immediately destroy any downloaded or printed materials. In addition, use of any software content affiliated with this site shall be governed by the software license agreement accompanying such software.

Links to Other Websites. The Direction$ Services may provide, or third parties may provide, links to other World Wide Web sites or resources.  You acknowledge and agree that Direction$ is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Direction$ shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

Network Protocols. The protocols used on the networks (e.g., TCP/IP) call for end-to-end verification of the accuracy of any message and all data sent or received. Such verification is your sole responsibility. Neither Direction$ nor the operators of attached networks will be responsible for any loss from delays, non-deliveries, incorrect deliveries, service interruptions, including those caused by negligence, errors, omissions or other losses or damages.

Privacy Policy. In accordance with the terms of Direction$’s privacy policy, Direction$ respects the privacy of its members.

Governing Law. These terms will be governed by and construed in accordance with all applicable federal laws and the laws of Virginia without regard to its conflict of laws provisions.

Compliance With Laws. Members shall ensure that their acts and omissions and/or content on this website will comply with all applicable international, national, state and local laws and regulations. Direction$ shall ensure that its services will comply with all applicable international, national, state and local laws and regulations.

No Investment Advice. Though the Direction$ Services may address various topics related to investment and financial planning generally, nothing set forth in the Direction$ Services is intended to constitute investment advice.  Developing an investment plan and strategy requires the consideration of a number of factors, including, but not limited to, the investor’s investment goals and appetite for risk.  Therefore, you should not make any investment decision without first consulting your personal financial advisor and conducting your own research and due diligence.

Contributions To Direction$. By submitting ideas, suggestions, documents, and/or proposals (“Contributions”) to Yahoo! through its suggestion or feedback webpages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) Direction$ is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) Direction$ shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) Direction$ may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of Direction$ without any obligation of Direction$ to you; and (f) you are not entitled to any compensation or reimbursement of any kind from Direction$ under any circumstances.

Applicable Laws. Direction$ makes no representation that materials at the website are appropriate or available for use outside Canada or the United States, and access to them from territories where their contents are illegal is prohibited. b.      DIRECTION$ AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE DIRECTION$ SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE DIRECTION$ SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE DIRECTION$ SERVICES WILL BE ACCURATE OR RELIABLE; and (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE DIRECTION$ SERVICES WILL MEET YOUR EXPECTATIONS.

c.      ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE DIRECTION$ SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

d.      NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DIRECTION$ OR THROUGH OR FROM THE DIRECTION$ SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

LIMITATION OF LIABILITY.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT DIRECTION$ AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF DIRECTION$ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) THE USE OR THE INABILITY TO USE THE DIRECTION$ SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE DIRECTION$ SERVICE; OR (e) ANY OTHER MATTER RELATING TO THE DIRECTION$ SERVICE.
